Kick Out Clause, Right of First Refusal: Same thing?

Do you understand the difference between the Right of First Refusal and Kick Out Clause? What do they mean and when might you encounter them?

Legal Hotline calls suggest that there’s some confusion over what these terms mean, and they’re often used interchangeably. Some calls start with: “I’m looking for a Right of First Refusal rider.” Usually, however, this member is actually looking for the Kick Out Clause rider but confused over terminology.

What is a Right of First Refusal? How does that differ from the Kick Out Clause rider?

Right of First Refusal: In general, a Right of First Refusal is an interest granted to a person or entity to purchase property before another third-party can do so. A commonly seen example is a property association’s right of first refusal. Normally reserved within the community’s documents, this right allows the property association to purchase a property before another buyer can.

In this case, the contract between the seller and the buyer is usually given to the association for review within a certain timeframe (i.e. 10 days) to give the association time to decide whether or not to exercise that right. If the association chooses to do so, it then “stands in the shoes” of the buyer in the contract, meaning that the terms of the contract remain the same, pending renegotiation, and the association can’t make the seller change a term, such as the purchase price.

Another common scenario that might have a Right of First Refusal is in a landlord/tenant relationship. Some tenants might incorporate a Right of First Refusal into their leases, stating that they have the right to buy the home before another buyer does, should the landlord want to sell that property one day. The Florida Supreme Court-approved leases don’t contain any such language, so tenants that may want a right of first refusal in this context should consult their own attorney for the appropriate language to add to their lease.

Kick Out Clause: The language in kick-out clauses could vary depending on the contract used, but in the Florida Realtors/Florida Bar Residential Contracts for Sale and Purchase (FR/Bar), the Kick Out Clause language is in a rider.

Adding Rider X to the Florida Realtors/Florida Bar contracts clarifies that the seller can continue to show the property and enter into bona fide back-up contracts. Any back-up contract with a third-party is, of course, subject to termination of the primary contract.

Upon entering into a back-up contract, the seller must share a copy of said contract with the primary contract buyer, though with certain information, like the price, redacted.

This puts the ball in the buyer’s court, and the buyer must make a decision: either place an additional deposit down with the designated escrow agent and, in doing so, waive contingencies for financing and sale of buyer’s property (if any) or don’t place the additional deposit in the timeframe required, thereby terminating the contract. In the case of termination, the buyer would receive any initial deposit back and both parties are released from further obligations under the contract.

Once terminated, the seller then notifies the back-up contract buyer that that contract is in primary position.

When might a seller want to use this type of rider? A common use is when the buyer’s offer contains a contingency for the sale of a property the buyer currently owns. A seller may want to counter the buyer’s offer with this rider added in order to retain the ability to go with an entirely different contract with a subsequent buyer should they choose to do so.

In sum, a Right of First Refusal is granted to a party via a separate legal document (i.e. a declaration of association or a lease) to purchase property before another third-party. On the other hand, a Kick Out Clause rider to the Florida Realtors/Florida Bar contract gives the seller the potential opportunity to proceed with a back-up contract.

Does deposit acceptance turn an offer into a contract?

Is earnest money required to make a contract legal and binding?

The short answer: no.

Deposits often provide evidence of a buyer’s commitment to the purchase, but they’re not required by law. A binding contract to purchase real estate only requires “consideration,” which is defined as something of value offered for something else of value.

According to the Florida Bar, “The formation of a contract is accomplished when there is an offer and acceptance between the contracting parties of the exchange of ‘consideration.’ This offer and acceptance are sometimes referred to as a ‘meeting of the minds.’ If the parties have not reached a meeting of the minds, then there is no agreement.”

Are impact windows worth it?

Well, I guess the answer to this one is:  If money is no object then sure, why not?

In terms of protection, I could make an argument that panels are ‘tougher’ than the glass.  BUT, they need to be put in place so if that doesn’t happen then, wll they’re not much good.  If a piece of debris hits a panel then perhaps it will bent that panel but no big deal.  If debris hits an impact window it may not fail (breech) but you will need to fix it and that’s expensive.

YOU GET THE SAME INSURANCE DISCOUNT WITH IMPACT RATED WINDOWS AS YOU DO WITH NON IMPACT RATED WINDOWS THAT HAVE SHUTTERS OVER THEM.  Read more on this in THIS POST.

So, how much more do they cost?  Well, I stopped in at the windows and doors desk at Home Depot last night nd asked.  An 8′ wide by 80″ tall (standard height) slider in non impact is about 1200+tax so about $1284.  And in an impact rated door this same size is 2800 + tax or $2966.  Now on that 1284 one still needs to add the cost of the shutters material and the cost to install it.  And on the install of the impact rated door we need to add for the fact that these are typically wider than the same door in non-impact and thus the jambs need to be modified.  Bottom line is that I would figure 5k for the slider in and impact door and 2500 for one in non impact with shutters.  If this were one door then probably not a big deal but with multiple doors then it might be.

The last point I will make here is that impact windows in a storm may not breach but if they are hit by debris they can and will break which will require that the glazing be replaced at great expense.  Or, all that debris flying around can scratch the glass which will require that it be buffed or replaced and again this is expensive.

I’m an engineer and in my house I have non-impact windows with steel High Velocity Hurricane Zone (HVHZ or ‘Miami Dade’) shutters over them.  Yes the steel ones are heavy but it’s inexpensive and very tough.

16109 72nd Drive N, Palm Beach Gardens, FL 33418

I viewed the property at 16109 72nd Drive N, Palm Beach Gardens, FL 33418 in Palm Beach Country Estates a little over a month ago with a customer.  The property was off the market and is now back on and they are steadily reducing the asking price.  This is a CBS home and has been well maintained by the current owners.  The base house is a 3 bed and 2 baths with 1810 s.f. under air however the garage has been converted to add some portion of 380 s.f. to the house and another bedroom.  The garage addition does appear to have been done without a permit but it is air conditioned with a mini split.  The pool is a great feature of this house as is the old horse barn.  It has a full concrete driveway and paving will be done this summer to bring paving right up to the lot line.  This all being said though, because it’s a small house, it is over priced in my opinion.

Is there a time when buildings built without a permit are ‘Grandfathered’?

First, this is for work with NO PERMIT. If a permit was pulled, and not closed, then in 2019 the legislature created a method to deal with that.

Technically, in Florida, yes there is BUT they have to have been built a long time ago, by Florida standards.  If the improvement was made before an ordinance was adopted which would have made that improvement require a permit then it did NOT require a permit when it was built and therefore is considered to be grandfathered.  For example, in Palm Beach County a zoning ordinance was not adopted until 1957. So anything built before that date in what was then, or is still now, unincorporated county land did not require conformance to zoning regulations.

If an improvement or addition or anything that requires a permit was done at a property AFTER the date when a permit would have been required to do so then that improvement is NEVER grandfathered.  The building official, or code enforcement, could force the Owner to come into compliance at any time.

And as of 2019 there is now an avenue to close out old permits.

For most people, buying or selling a house is one of the most complicated financial transactions of a lifetime. Recently, we did BOTH, in a matter of months. Fortunately, we had Chris Ryder and his firm R&R Realty to work with, making the process as smooth as possible.
